The Sarbanes-Oxley Act of 2002 (SOX) was passed by the 107th Congress on July 30, 2002 (Sarbanes-Oxley, 2002) to provide protection to investors and shareholders as a result of fraudulent activities by some U.S. Corporations such as Enron, Tyco, WorldCom, and Adelphia, as well as other public companies (Jennings, 2012; Scott & Nganje, 2011). SOX introduced major regulatory changes which affect financial practice and corporate governance; and compliance is mandatory for ALL organizations (Guide to Sarbanes-Oxley, 2006). SOX is......

A Primer on Sarbanes-Oxley

...A Primer on Sarbanes-Oxley By Doris Activity 7 MGT7019-8 NorthCentral University Abstract This paper identifies issues, activities and practices, in financial reporting by public companies that were sanctioned by the Sarbanes-Oxley legislation Act of 2002 (SOX). This act was passed with the intent to restore public confidence and increase transparency in financial reports of publicly held companies, due to the aftermath of the financial scandals that plagued companies such as Enron and Worldcom (Jennings, 2012). The problem to be investigated is the ethical issues that were legislated by SOX, the cost associated with the implementation of the new act on different stakeholders, and new governance practices required of public companies to insure compliance with the new act. Introduction SOX was implemented in 2002 as “an act to protect investors by improving the accuracy and reliability of corporate disclosures made pursuant to the securities laws, and for other purposes” (Jennings, 2012, p. 212). This act focused primarily on the independence of auditors who are responsible for auditing public companies, the corporate responsibilities of Chief Executive Officer(CEO) and Chief Financial Officer(CFO), the proper disclosure of financial statements, the conflict of interest between the parties involved, criminal fraud accountability of those involved, and the imposition of the penalty in case of violations. The Public Accounting oversight Board (PAOB) was then......

A Primer on Sarbanes-Oxley

...A Primer on Sarbanes-Oxley This paper is an investigation of violations in finance according to Sarbanes-Oxley (SOX) as related to ethics and those influenced by decisions from investment management. I assessed the financial and social business practices of different organizations and identified ethical issues within the businesses that impacted internal and external stakeholders. Research revealed issues and activities that should have been resolved voluntarily prior to SOX’s enactment to meet ethical considerations relative to social and financial performance and the organization’s reputation. Recommendations were made based on studies and scholarly articles implicating the best governance practices organizations should adopt to remain compliant with SOX. What is SOX? SOX was established in 2002 as an act to strengthen corporate governance and restore investor confidence. The most important conditional term was to protect investors by improving the accuracy and reliability of corporate disclosures made pursuant to the securities laws and other purposes (Jennings, 2012, p. 212). Provisions under SOX affected organizations’ processes and changed how financial information was released to the public. The act highlights the importance of information system controls by requiring management and auditors to report on the effectiveness of internal controls over the financial reporting component of the organization’s management information systems (Li, Peters, Richardson &......

M and a Primer

...Finance Simulation: M&A in Wine Country Terminology Primer Reservation Price: If you are a bidder, the highest price you would be willing to pay to acquire a target company is called your “reservation price”. It also is sometimes called a “walkaway price.” To calculate a reservation price you need to consider all available information about the target, your own company, and possibly other bidders and targets. Using all available information, and assuming the acquisition is completed, estimate the value of the target. If you pay more than this value the NPV of the deal will be negative; if you pay less it is positive. In this sense, the reservation price is the “zero-NPV,” or breakeven price. Conversely, if you are the target, your reservation price is the lowest price at which you would be willing to be acquired. Equity Consideration: Bel Vino and Starshine are considering a merger that would be consummated by an exchange of stock rather than a payment in cash. Such an exchange is called equity consideration, and such a transaction is called a stock deal (as compared to a cash deal). The following terms and considerations apply to stock deals.  Exchange ratio: Target shareholders are offered stock rather than cash in a stock deal. The offer is expressed in terms of an exchange ratio: the number of shares of the bidder’s stock offered in exchange for each share of the target. The Wine Country Simulation includes an Exchange Ratio Calculator to convert an offer price expressed...

Primer on Implementing Monetary Policy

...June 2010 A Primer on the Implementation of Monetary Policy in the LVTS Environment1 Introduction The Bank of Canada’s method for implementing monetary policy is closely linked to the system through which payments clear and settle daily. Coincident with the introduction by the Canadian Payments Association of an electronic system for the transfer of payments (the Large Value Transfer System, or LVTS), a new approach to the implementation of monetary policy was adopted on 4 February 1999.2 This primer summarizes the objectives and the key elements of the framework that the Bank uses to implement its monetary policy. It also includes a table that lists the key features of the framework and how they function in the LVTS environment and a glossary of terms with respect to the Bank of Canada’s monetary policy operations. Policy overview The Bank of Canada establishes a target for the overnight interest rate within an operating band in order to influence other short-term interest rates and the exchange rate (Thiessen 1995). The ability to influence other short-term rates partly reflects the fact that inventories of money market securities are generally financed with overnight funds. However, other factors, including changing market expectations and exchange rate developments, also affect how other interest rates, including those with relatively short terms to maturity, respond to changes in the target rate. Changes in the Bank of Canada’s target for the overnight interest rate are......

In reality, if the primer is too short, it will possess low specificity result in non-specific amplification. However, in another case that it is too long, it will decrease the template-binding efficiency at normal annealing temperature due to the high potential of forming secondary structure such as hairpins. The designed primer has the length of 20 bp with forward primer and 18 bp with reverse primer. This length is in the optimal condition for PCR primer. 4) The primers are always specified 5’ to 3’, and in the PCR...

Massachusetts Freemasonry Primer

...MASSACHUSETTS FREEMASONRY PRIMER Freemasonry is the world’s oldest and largest fraternity. It was formally organized in 1717 when four lodges in London created the Premier Grand Lodge; the Grand Lodge of Ireland followed in 1725. On July 30, 1733, Henry Price, a Boston merchant and tailor from London, under authority from the Premier Grand lodge, met with 18 Masons in The Bunch of Grapes Tavern on King (now State) Street and formed the first Duly Constituted Lodge in the New World. Known as “First Lodge” until 1783, it still meets today in Boston as Saint John’s Lodge. On the basis of this precedence, the Most Worshipful Grand Lodge of Masons of the Commonwealth of Massachusetts was established. It holds the distinction of being the third oldest Grand Lodge in the world, and the oldest in the Western Hemisphere. A Grand Lodge is the governing body that ensures the activities of the lodges within its jurisdiction comply with the Constitutions and Regulations of the Grand Lodge, as well as maintain the uniformity of the ritual ceremonies that initiates experience when becoming members. 2013 marked the 280th Anniversary of Freemasonry in Massachusetts. The Grand Lodge of Massachusetts represents more than 32,000 Masons belonging to 230 lodges throughout the Commonwealth, as well as in Panama, Chile, China (meeting in Tokyo, Japan), and Guantanamo Bay, Cuba. Its historic headquarters is located at the corner of Tremont and Boylston Streets, across from the Boston......

Are Enterprenuers Born or Bred - a Potentia Primer

...successful giants like Dell. One begins to think about the culture that these companies must create within their organizations in order to meet their management vision. Perhaps we can call companies like Apple and 3M corporate entrepreneurs who strive to push themselves towards entrepreneurial behavior on the entrepreneurial continuum. They are definitely not born but instead nurtured and bred. William Baumol argues that an institutional environment that encourages productive entrepreneurship and human experimentation becomes the ultimate determinant of economic growth. Such institutional environments are created in places where corporate and human experimentations have been going on for decades if not centuries. Such environments, the financial centres of the west to the trading hubs of the east, have been caused to produce and reproduced themselves. Entrepreneurs seek opportunities and thrive as the ‘changing rules of the game’ motivate them. Nations and Civilisations as Entrepreneurs In order to establish a wider and deeper perspective on our argument, let’s take a historians standpoint of development and entrepreneurship. A historian would tell us that the Chinese mastered marine technology and astrology, the Arabs mathematics and chemistry, the Japanese invented nanotechnology, European economists developed breakthrough economic theories, the Egyptian developed numbers and the American discovered1 the internet. To continue developing the same thought we can say that......

Apple Distribuye Su Primer Dividendo Desde 1995
